1. Agreement and order of precedence
These Terms of Service (“Terms”) are a legal agreement between you and threep LLC (“threep,” “we,” “us,” or “our”) governing your access to www.threep.ai, app.threep.ai, and related services (the “Service”). By creating an account, accessing a workspace, purchasing a plan, or otherwise using the Service, you agree to these Terms.
If you use the Service for an organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.
A signed order form, statement of work, data processing agreement, business associate agreement, or other written agreement may add to these Terms. If there is a conflict, the signed agreement controls for that customer, then these Terms, then other online policies. The Privacy Policy explains our information practices.
2. The Service and early access
threep is a hosted compliance-readiness workspace that helps teams organize policies and questionnaires, retrieve evidence, draft cited responses, identify gaps, preserve reviewer decisions, and export work product. Private deployments, custom retention, single sign-on, or other features may be available under a separate written scope.
The Service is in early access. Features, models, limits, interfaces, and availability may change as we learn from customers. We will not use “early access” as permission to disregard our written commitments, but you should expect product changes and occasional interruptions.
threep supports the work; it does not own the decision. The Service does not submit questionnaires, certify compliance, make legal conclusions, or approve responses on your behalf unless a separate written agreement expressly says otherwise.
3. Eligibility, accounts, and workspace administration
- You must be at least 18 and able to enter into a binding agreement.
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding credentials, controlling who joins your workspace, assigning appropriate roles, and promptly reporting suspected unauthorized access.
- Do not share a personal account in a way that prevents attribution of reviewer actions. Workspace owners are responsible for their users and permissions.
- You are responsible for the devices, browsers, networks, and integrations you use to access the Service.
Workspace owners and administrators may be able to invite or remove users, change roles, view workspace activity, and access content submitted by workspace members. If an organization provides your account, that organization controls the workspace relationship.
4. Customer content and instructions
“Customer Content” means files, policies, questionnaires, prompts, evidence, instructions, reviewer decisions, and other material you or your users submit to the Service. As between you and threep, you retain your rights in Customer Content.
You grant threep a limited, non-exclusive right to host, copy, transform, index, transmit, and otherwise process Customer Content only as reasonably needed to provide, secure, support, and improve the operation of the Service; comply with your instructions and our agreements; and meet legal obligations. This includes creating extracted text, embeddings, generated responses, citations, and operational backups.
You represent that you have the rights, permissions, and lawful basis needed to provide Customer Content and direct its processing. You are responsible for the accuracy, legality, and appropriateness of Customer Content and for deciding what should be uploaded.
Unless a separate written agreement expressly authorizes it, do not upload protected health information, payment-card data, government-issued identity numbers, passwords or secret keys, export-controlled data, or other information that requires special regulatory or contractual handling beyond the Service’s stated scope.
5. AI processing and professional judgment
The Service uses machine-learning and generative-AI providers to process questions and selected excerpts from Customer Content. The current routing is described in the Privacy Policy. You authorize this processing when you use AI-powered features.
AI-generated responses, citations, classifications, gap findings, and suggestions may be incomplete, outdated, or incorrect. Retrieval can miss relevant material, and a cited passage may not prove the conclusion you need. You must review outputs and source evidence before relying on or sharing them.
The Service is not a law firm, accounting firm, auditor, assessor, certification body, or government authority. Outputs are not legal advice, an audit opinion, a compliance certification, or a guarantee that a regulator, customer, or assessor will accept your response.
You may not use the Service as the sole basis for decisions that determine a person’s legal rights, employment, access to essential services, credit, insurance, medical treatment, or similarly significant interests.
6. Acceptable use
You may use the Service only for lawful, authorized business purposes. You may not, and may not help others to:
- access another customer’s workspace or data without authorization;
- upload malware, exploit code, stolen data, or material that violates law or another person’s rights;
- probe, scan, overload, disrupt, or bypass the Service’s security, rate limits, authentication, tenant boundaries, or usage controls, except under a written security-testing authorization from threep;
- use automated means to scrape, extract, or reproduce the Service or model outputs at a volume intended to evade plan limits or build a competing model or service;
- reverse engineer the Service except to the limited extent a restriction is prohibited by law;
- misrepresent AI-generated material as an independent audit, certification, or human conclusion; or
- use the Service in a way that exposes threep or others to sanctions, export-control violations, fraud, or material security risk.
We may investigate suspected misuse and take proportionate steps to protect the Service and its users.
7. Plans, billing, cancellation, and taxes
Available features and limits depend on your plan. Early-access pricing may be set in an order form or other written arrangement. If you purchase through hosted checkout, Stripe processes payment and its terms also apply to the payment transaction.
Unless an order form or checkout says otherwise, paid subscriptions are billed in advance and renew automatically for the same billing interval until canceled. You authorize the applicable recurring charges. You may cancel through the billing portal or by contacting us. Cancellation takes effect at the end of the current paid period unless we agree otherwise.
Fees are non-refundable except where required by law or expressly stated in a signed order, refund policy, or checkout term. We may change online plan prices prospectively by giving reasonable notice; a signed order controls for its stated term. You are responsible for applicable taxes other than taxes on threep’s net income.
If payment is overdue, we may limit paid features or suspend the affected workspace after reasonable notice when practicable. We will not intentionally delete Customer Content solely because of a short payment-processing delay.
8. Ownership and feedback
threep and its licensors own the Service, software, design, documentation, methods, trademarks, and other materials we provide, excluding Customer Content. Subject to these Terms and any applicable plan limits, we grant you a limited, non-exclusive, non-transferable right to use the Service during your authorized subscription or access period.
If you provide suggestions or feedback, you grant threep a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your confidential information. We may develop ideas independently or receive similar ideas from others.
Generated output may resemble material generated for others, and applicable law may not recognize exclusive rights in every AI-generated element. We do not claim ownership of your exported answers merely because the Service helped produce them.
9. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use that information only to perform or receive the Service, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by appropriate duties.
Confidential information does not include information that the receiving party can show was already lawfully known without restriction, becomes public without breach, is received lawfully from another source without restriction, or is independently developed. A party may disclose confidential information if legally required, after giving notice when legally permitted.
Customer Content is your confidential information unless you make it public or the circumstances clearly indicate otherwise. This section does not replace a separate nondisclosure agreement or security addendum.
10. Third-party services
The Service depends on providers such as AWS, AI-model infrastructure, Stripe, and email or notification services. Their services may be subject to their own terms and may experience interruptions outside threep’s control. The Privacy Policy identifies the main provider categories and the information involved.
Links to third-party sites are provided for convenience. threep is not responsible for third-party content or services that you choose to use outside the Service.
11. Suspension, termination, and data after termination
You may stop using the Service at any time. A subscription cancellation does not itself erase workspace data. Contact us before termination if you need help retrieving or deleting information.
We may suspend or limit access when reasonably necessary to address a security risk, unlawful use, material breach, overdue payment, provider outage, or threat to other customers or the Service. When circumstances permit, we will give notice and a reasonable opportunity to cure.
Either party may terminate for an uncured material breach after reasonable written notice, or immediately if the breach cannot be cured. We may discontinue an unpaid or early-access service with reasonable notice when practicable.
After termination, we may delete Customer Content in accordance with the Privacy Policy, applicable law, and any signed agreement. Provisions that by their nature should survive—including ownership, confidentiality, payment obligations, disclaimers, liability limits, and dispute terms—will survive.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” THREEP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, perfectly secure, or suitable for every regulatory framework; that every relevant document or control will be retrieved; that AI output will be accurate; or that any customer, auditor, assessor, regulator, or certification body will accept a result.
Nothing in these Terms limits a warranty or right that cannot lawfully be limited. A signed service-level, security, or support commitment controls over this section for that customer.
13. Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
EXCEPT FOR AMOUNTS YOU OWE, A PARTY’S BREACH OF CONFIDENTIALITY, YOUR INFRINGEMENT OR MISUSE OF THIRD-PARTY RIGHTS, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID THREEP FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
You will defend and indemnify threep and its personnel from third-party claims arising from Customer Content, your unlawful or unauthorized use of the Service, or your material violation of the acceptable-use obligations, to the extent caused by you or your users. We will promptly notify you of a covered claim, provide reasonable cooperation at your expense, and allow you to control the defense, subject to our right to participate with our own counsel. You may not settle a claim in a way that admits fault by or imposes obligations on threep without our written consent.
14. Governing law and general terms
Texas law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Travis County, Texas will have exclusive jurisdiction, and each party consents to that venue. Before filing a claim, the parties will try in good faith for 30 days to resolve it through written notice and direct discussion. This does not prevent either party from seeking urgent injunctive relief.
You may not assign these Terms without our written consent, except as part of a merger, reorganization, or sale of substantially all relevant assets. We may assign these Terms in connection with such a transaction or to an affiliate, provided the assignee assumes our obligations.
Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. Section headings are for convenience only.
These Terms and the documents incorporated by reference are the entire online agreement about the Service unless a signed agreement applies. We may update these Terms prospectively. For material changes affecting an active paid customer, we will provide reasonable notice. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and cancel before the change applies.
